1. Master Services Agreement Framework

These Terms of Service ("Agreement") govern the engagement between Vasuttam Labs ("Agency", "we", "us") and the enterprise client ("Client", "you") executing a Statement of Work (SOW) or custom engineering proposal.

By accessing our website, booking a strategy consultation, or executing an SOW, you agree to these transparent B2B terms designed to build long-term business wealth and resilient software infrastructure.

2. 100% Intellectual Property (IP) Transfer

Guaranteed Full Code & Infrastructure Handover

Upon final payment for each milestone, 100% of all custom source code, Git history, architecture diagrams, database migration scripts, Docker containers, and API configurations developed under the SOW are irrevocably transferred to the Client. Vasuttam Labs claims zero ongoing royalty rights or proprietary vendor lock-in traps.

3. Milestone Schedule & Payment Terms

  • 3.1Fixed-Scope Milestones: All engineering projects are broken into explicit, verifiable technical milestones detailed in the SOW.
  • 3.2Invoicing: Milestone invoices are payable Net 15 from date of delivery unless otherwise agreed in writing.
  • 3.3Scope Adjustments: Any material change to system requirements outside the original SOW will be documented in a written Change Order signed by both parties.

4. Warranties & Code Defect Warranty Period

Vasuttam Labs provides a 90-Day Post-Deployment Warranty Period on all delivered code. We warrant that all custom software will conform to the functional specifications outlined in the SOW. Any critical bug or defect identified during this 90-day window will be remediated at zero additional cost to the Client.

5. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, or consequential damages. Vasuttam Labs' maximum aggregate liability under any SOW shall not exceed the total fees actually paid by Client under that specific SOW during the preceding 6 months.
